Rahsaana Allen is Senior Counsel with Sklar Kirsh LLP in the Real Estate Department. Rahsaana represents public and private companies in a broad array of industries including real estate, hospitality, retail, and banking. She specializes in real estate and general business matters, and handles a broad range of real estate transactions, including acquisitions and dispositions, joint ventures, commercial leasing, financing, and providing general counsel services.
Rahsaana began her legal career in the corporate transactions practice group of the Am Law 100 law firm Gibson, Dunn & Crutcher LLP, where she practiced from 1999 to 2002, and later joined Westfield LLC as Senior Counsel from 2002 to 2007. Following her role at Westfield, she was Senior Counsel for Hilton Hotels Corporation where she was responsible for hotel development and management agreements in Latin America, Canada and the Caribbean. She also sat on the Board of Directors Diversity Committee.
Rahsaana is a California native and graduated from San Diego State University in 1996. She attended UCLA School of Law where she received her Juris Doctor in 1999, and was Editor of the UCLA Law Review.
Rahsaana is an active member of her community and is a member of the Century City Bar Association Board of Governors, a member of the Beverly Hills Bar Association and former Vice President of the Western Center on Law & Poverty, Advisory Board.
Serineh Baghdasarian is Of Counsel of Sklar Kirsh LLP in the Real Estate Department. Her practice experience includes extensive representation of real estate private equity funds, lenders, developers and institutional and non-institutional investors in all areas of real estate and real estate finance, including: construction, permanent, securitized and mezzanine financing, as well as loan workouts and restructuring; the acquisition and disposition of vacant land, office buildings, apartment complexes and other commercial, residential and mixed-use properties; the formation and representation of limited liability companies, general partnerships and other joint ventures; and the representation of commercial tenants and landlords in connection with office, retail, and other commercial leasing transactions.
Prior to joining Sklar Kirsh, Serineh was an associate in the Real Estate Practice Group of Gibson, Dunn & Crutcher, LLP, where she represented real estate private equity funds, lenders and other institutional clients in cutting-edge real estate and real estate finance transactions. Serineh also has an entrepreneurial background, as she was the founder and director of ScoreMax, a test preparation company providing at-home and classroom style test preparation services prior to joining Sklar Kirsh LLP.
Serineh received her Juris Doctorate in 2006 from Columbia University, graduating with honors as a Kent Scholar. While in law school, Serineh was a member of the Business Law Review and received an award for Best Oral Argument in her Moot Court program. Serineh received a dual Bachelor of Arts degree in Economics and Political Science and a minor in Business from the University of Southern California. Serineh received the Emma Josephine Bradley Bovard Award for having the highest GPA in her graduating class.
Serineh is licensed as a broker with the California Department of Real Estate and is an active real estate investor.
Jennifer L. Borow is a partner of Sklar Kirsh LLP with 25 years of broad transactional law experience. Jennifer has particular expertise in counseling high net worth individuals and family offices in connection with their closely held businesses, real estate holdings and other investment assets, including transitioning businesses between generations and sales to third parties, equity recapitalizations and financings. With clients involved in commercial and residential real estate, media, entertainment and telecommunications, as well as retail and industrial businesses, Jennifer has extensive expertise in the structuring and negotiation of complex strategic transactions, including the acquisition and disposition of business assets and the formation, capitalization and governance of joint ventures, partnerships, limited liability companies and other business entities as well as a wide range of business contracts including management, marketing, distribution, licensing, and executive employment agreements.
Most recently, Jennifer was a partner at Loeb & Loeb LLP resident in their Los Angeles office. She began her career at O’Melveny & Myers LLP, where she was a partner in their Century City office.
Jennifer is a member of the State Bar of California.
Raised in Sherman Oaks, CA, Jennifer received her Bachelor of Arts degree in Psychology, cum laude, from Smith College in 1985 and earned her Juris Doctor from Yale Law School in 1988.
Simone Collins is an associate of Sklar Kirsh LLP in the Corporate Department. Simone’s practice focuses on representing public and private companies and private equity and venture capital firms in domestic and cross-border transactions, including mergers and acquisitions, leveraged buyouts, strategic add-ons, joint ventures, debt and equity financing, venture capital financing and other general corporate matters. She has experience representing clients in a broad array of industries, including media and entertainment, hospitality and leisure, retail and consumer products, professional services, and manufacturing and industrials.
Prior to joining Sklar Kirsh LLP, Simone was an associate in the Corporate Group of Latham & Watkins LLP in Los Angeles. At Latham, her practice focused on mergers and acquisitions, leveraged buyouts, strategic add-ons and joint venture transactions for public and private companies and private equity firms. From 2012 to 2014, Simone was an associate in the Corporate Group of Jones Day LP in Chicago, where her practice focused on mergers and acquisitions and other private equity transactions, as well as joint ventures and venture capital financing. Prior to attending law school, Simone worked as a financial advisor in the corporate restructuring and recovery department of a global consulting firm.
Born in Cape Town, South Africa, and raised in New Jersey, Simone received a Bachelor of Science in Finance, cum laude, from the University of Maryland. While at Maryland, Simone was a four-year varsity letter winner and starter on the Division I women’s soccer team, earning All-ACC Academic Team Honors and First Team CoSIDA Academic All-District Honors. Simone also received the University of Maryland Scholar Athlete Award for athletic and academic excellence. Simone later received her Juris Doctorate, cum laude, from Northwestern Pritzker School of Law, where she was a member of, and published author in, the Northwestern Journal of International Law and Business, and a winner of the Arlyn Miner Book Award for excellence in persuasive legal writing.
Simone is a member of the California and Illinois bars. She is also a member of the Los Angeles chapter of the Association for Corporate Growth (ACG) and has been selected by ACG as a Rising Star for 2016/2017.
Simone enjoys traveling, triathlons, snowboarding, rock climbing and yoga.
Katy Conroy is Of Counsel of Sklar Kirsh LLP in the Corporate Department. She has a broad corporate practice, advising clients across a variety of industries in various corporate and transactional matters, including mergers and acquisitions, and equity and debt financing transactions. She counsels clients through all phases of the transaction process, including structuring, negotiation, implementation, and ongoing post-transaction advice.
Prior to joining Sklar Kirsh LLP, Katy was an associate in the Global Corporate Group of Milbank, Tweed, Hadley & McCloy LLP in Los Angeles. At Milbank, her practice focused on mergers and acquisitions, restructurings, and equity and debt financing transactions and general corporate representation for both public and private companies. From 2009 to 2013, she was an associate in the Corporate Department of Proskauer Rose LLP, also in Los Angeles.
Born and raised in Los Angeles, Katy received her Bachelor of Arts in Government and Art History from Dartmouth College in Hanover, New Hampshire, where she served as an intern with the Hood Museum of Art and as a mentor in the college’s Big Brothers Big Sisters program. She received her Juris Doctor from UCLA School of Law, where she was a member of the UCLA Entertainment Law Review, and her Masters of Business Administration from the Anderson School of Management at UCLA, where she concentrated on finance and entrepreneurship.
At Milbank, Katy helped lead the firm’s involvement with Public Counsel’s dependency adoption program, a program in which she also participated during her tenure at Proskauer.
Katy enjoys travel, cooking, yoga, and tennis.
Scott R. Ehrlich is a partner in the Firm’s Corporate Group. Scott’s practice focuses on corporate M&A and finance transactions, with an emphasis in the entertainment and media industry.
Scott has more than 20 years’ experience representing diverse public and private clients in corporate transactions including mergers and acquisitions, joint ventures, strategic alliances, IPOs, equity and 144A debt offerings, PIPE transactions, and general corporate and business matters. Scott has also represented start-up entities and investors in seed capital and venture capital financing rounds.
Scott joined Sklar Kirsh after serving almost nine years as the General Counsel of Deluxe Entertainment Services Group where he was the chief legal officer handling dozens of high-stakes, post-production and new distribution technology deals, mergers and acquisitions, corporate finance and joint venture activity along with providing day to day legal and commercial advice to business units around the world. Scott’s in-house experience gives him strong familiarity with the major entertainment companies and the many different sectors of the entertainment business, including new media. Having been a law firm client, Scott has a deep appreciation of what clients expect and how to provide services in a cost-effective manner.
Prior to joining Deluxe, Scott was a Counsel in the corporate finance department of Skadden Arps in New York, having spent almost seven years practicing corporate finance and M&A in that office. Scott started his legal career as a corporate associate with Tucker Flyer (since merged with Venable) in Washington, DC for five years.
Scott received his B.S. in Commerce from the University of Virginia in 1989 and then worked as an accountant for Deloitte & Touche prior to attending law school. He earned his J.D. from the George Washington University Law School in 1994.
Scott is admitted to the California, New York, DC and Maryland (inactive status) bars and is a Certified Public Accountant in New York (inactive status). Scott is a member of the American Bar Association, the State Bar of California, the Los Angeles County Bar Association and the District of Columbia Bar.
Hillel M. Elkins is a partner in the firm’s Entertainment & Media Practice Group and Corporate Practice Group. Hillel has a broad range of experience in the entertainment industry representing production companies, studios, distributors, digital platforms and financiers. His experience as head of Business Affairs for both a prolific production company and a “mini” studio give him a unique perspective on clients’ entertainment needs and a pragmatic, business-oriented approach.
In the areas of film & television production and development, Hillel routinely negotiates option/purchase agreements for books, screenplays, pilots, graphic novels and life rights, as well as agreements hiring screenwriters, show runners, actors, directors and producers. He has been production counsel on numerous feature films.
In film distribution, Hillel negotiates contracts for acquisitions, multi-picture output deals, negative pickup deals, studio-network licenses, sales agency agreements and foreign distribution agreements. In the digital world, he has negotiated agreements for online distribution on behalf of transactional and subscription video-on-demand providers, including channel distribution agreements, studio multi-picture licenses, and original content writer/producer/showrunner agreements.
Hillel also has extensive experience in film finance, having represented both production companies and lenders on numerous single-picture financings, as well as having worked on slate financings, co-productions and P&A loans.
Prior to joining Sklar Kirsh, Hillel was head of Business & Legal Affairs of Relativity Studios. Before that, he was General Counsel and Head of Business & Legal Affairs of Blumhouse Productions, where he put over 15 films into production. Prior to his in-house career, Hillel spent 7 years in the Entertainment & Media Practice Group of Loeb & Loeb, representing production companies, studios, distributors, sales agents, financiers and high net-worth individuals investing in films. Hillel began his legal career at Sheppard, Mullin, Richter, & Hampton, where he represented studios and television networks.
Carmella Greacen is a Senior Corporate Paralegal with Sklar Kirsh LLP. She has over 30 years of legal experience in many areas of the law, including corporate/transactional, trust and probate, family law, civil litigation, real property, construction defects, entertainment, and environmental law, accumulated while working with solo practitioners, in-house counsel, an AM Law 100 law firm and prestigious boutiques around the country.
Prior to joining Sklar Kirsh LLP, she was the Senior Corporate Paralegal at Greenberg Glusker Fields Claman & Machtinger LLP, specializing in corporate and transactional matters including mergers and acquisitions, entity formation, organization and governance, research and coordination of private and public securities offerings and minority and women-owned business certifications. She is a past editor of the Los Angeles Paralegal Association Reporter (“LAPA”) and served on the West Los Angeles College Advisory Committee during its quest for ABA certification of its paralegal program.
Her background also includes stints in broadcasting, advertising, real estate brokerage, property management, event planning and public relations. She was named Coles County Realtor-Associate of the year while completing her B.A. studies at Eastern Illinois University in Charleston, Illinois and is formally qualified as a paralegal in California under Section 6450 of the California Business and Professions Code.
She was raised in Pittsburgh, Pennsylvania, where her children and grandchildren reside in the surrounding metropolitan area.
Owen P. Gross is a partner of Sklar Kirsh LLP in the Real Estate Department. Owen has over 20 years of experience as a transactional real estate attorney representing lenders, borrowers, buyers, sellers, developer partners, equity partners, governmental agencies, tenants, and landlords, with respect to all types of properties. The breadth of Owen’s experience allows him to work on virtually all aspects of very complicated transactions, from due diligence to drafting and negotiating the primary documents at all stages of a real estate project and to understand the differences between, and the unique aspects of, raw land, office complexes and buildings, mixed-use projects, storage, hotels and restaurants, redevelopment projects, single- family residential developments, multi-family housing (both affordable and market), houses for rent, shopping centers, industrial, and warehouse and distribution centers.
Having represented lenders as diverse as life insurance companies and national banking associations to private equity and municipalities, Owen has extensive experience with transactions secured by real property, documenting land, construction, affordable housing, off-balance sheet, bridge, and permanent loans as well as lines of credit, both at origination and for modifications. Over the course of his legal career, Owen has also worked on mezzanine loans and subscription lines of credit secured by ownership interests in entities that primarily own real property.
Owen has worked on numerous purchase and sale and joint venture transactions, as well as having significant experience coordinating with local counsel on large, multi-state portfolio transactions for everything from reviewing title to issuing opinions. Owen also often acts as local counsel on similar transactions because of his regular contact with out of state firms.
Prior to joining Sklar Kirsh, Owen was Senior Counsel at Cox Castle & Nicholson and a Shareholder at Richards, Watson & Gershon.
Owen is a member of the State Bar of California and the Executive Committee of the Real Property section of the Los Angeles County Bar Association.
Owen received his Bachelor of Arts from the University of Southern California and earned his Juris Doctor from U.S.C., Gould School of Law.
Having grown up in Manhattan Beach, Owen still surfs and skateboards, as well as playing soccer and fencing.
Steve Halper is Of Counsel of Sklar Kirsh LLP in the Corporate Department. For 35 years, Steve Halper has devoted his law practice to addressing the needs of entrepreneurs, emerging growth companies and investors in the organization of business entities and private investment funds, seed and venture capital financing, mergers and acquisitions, and a wide range of other corporate and business transactions in multiple industries.
A native of Minneapolis/St. Paul, Steve received a B.A. from Washington University in St. Louis in 1974, and a J.D., with honors, from the University of Minnesota Law School in 1977.
Named as a “Super Lawyer” by Los Angeles Magazine since 2012, Steve regularly lectures, writes and provides expert witness services on legal issues affecting limited liability companies as well as emerging growth companies. He is the co-editor of the Guide to Organizing and Operating a Limited Partnership in California and a contributor to the Report on Legal Opinions Concerning California Limited Liability Companies (both official publications of the Business Law Section of the State Bar of California), and participated in the drafting of recently enacted California Revised Uniform Limited Liability Company Act as a member of the Partnerships and Limited Liability Company Committee of the State Bar of California.
Deborah K. Harris is a Real Estate Paralegal of Sklar Kirsh LLP. She has over 25 years of real estate experience in both commercial and residential real estate, specializing in assisting commercial real estate developers with mortgage financing, refinancing and closings, financial management, property valuation, title and survey review and analysis as well as experience in residential real estate as a contracts paralegal.
Prior to joining Sklar Kirsh, Deborah was the Contracts Paralegal for London Bay Homes in Sarasota, Florida. She was previously a Real Estate Paralegal for Calamar Enterprises and Bella Vista Group, Inc. both located in western New York.
Deborah holds a Florida Real Estate Salesperson License and is a member of the National Association of Realtors as well as Women’s Council of Realtors.
Brien R. Kelley is Senior Counsel of Sklar Kirsh in the Real Estate Department. Brien’s practice focuses on complex real estate transactions, with significant experience in commercial and multi-family residential acquisitions and dispositions, real property secured financing, joint venture formation, mezzanine financing and all aspects of real estate due diligence including title and survey review. Brien’s real estate practice experience includes representation of institutional and family office real estate investors, syndicators, developers and operators, and borrowers in a broad range of real-estate related matters including acquisition, development, financing and disposition and commercial leasing; securitized, mezzanine and preferred equity financing; forming and representing joint ventures, limited liability companies, general and limited partnerships and negotiating joint venture agreements.
While attending law school, Brien began his professional career at the commercial brokerage firm RE/Max Commercial, eventually obtaining his sales license and assisting investors in the acquisition and disposition of multi-family assets. In 2005 Brien began his legal career in the real estate department of the boutique law firm Kulik, Gottesman, Mouton & Siegel LLP and later spent time as an associate with Ervin, Cohen & Jessup LLP in Beverly Hills. Most recently, Brien was an associate with Epport, Richman & Robbins, LLP where he handled general business and complex real estate, corporate and transactional matters.
Born and raised in the Los Angeles area, Brien attended the University of California, Los Angeles (UCLA) where he was a Jackie Robinson Foundation Scholar and a Ralph J. Bunche Alumni Scholar, receiving a Bachelor of Arts in History in 1996. He then attended USC Gould School of Law where he received his Juris Doctorate in 2000, was a Legion Lex Merit Scholar, served as Vice-President of the Black Law Students Association and was a member of the Hale Moot Court Honors Program.
Brien has served as an Adjunct Professor of real estate law at UCLA Extension, teaching “Advanced Legal Aspects of Real Estate” and has served as an executive board member for the Los Angeles Urban League, Young Professionals. Brien is currently a member of the Western Region Scholar Advisory Committee for the Jackie Robinson Scholarship Foundation and is a member of the State Bar of California and the Los Angeles County Bar Association.
Brien is a founding member of Kelley-Holder Media, LLC which owns and operates various entertainment related ventures including an urban contemporary radio station broadcasting on station WZBR 1410 AM in Boston, MA and Humor Mill Magazine, an online digital magazine and website.
Andrew T. Kirsh is a founding partner of Sklar Kirsh LLP and is the Chair of the firm’s Real Estate practice. Andrew is an experienced commercial real estate transactional attorney, whose clientele includes a broad spectrum of national, regional and local investors, funds, developers, operators, syndicators, private equity providers and lenders. Andrew’s practice involves all aspects of the real estate industry, including acquisitions, dispositions, equity investments, syndications, fund formation, development, leasing, financing, note purchases and foreclosures.
Andrew began his career as a real estate attorney in the Los Angeles office of the global firm, Latham & Watkins, where he practiced from 2000-2006. He then assisted with the opening of the Century City office of another international firm, Goodwin Procter, where he practiced from 2006-2009. Most recently, Andrew was a partner of the Beverly Hills firm, Raines Feldman until 2013, when he opened Sklar Kirsh LLP with co-founding partner, Jeff Sklar.
Born and raised in Los Angeles, Andrew graduated locally at Beverly Hills High School before attending Northwestern University where he was a four-year varsity baseball player, earning Academic All Big Ten Honors in each of his four years. After graduating college in 1997, Andrew stayed in Chicago, where he attended Northwestern University School of Law and received his Juris Doctor in 2000.
Andrew has been recognized by Real Estate Forum in 2011 and 2012 as “Top 40 Under 40″ in the real estate industry nationally, and as a “Southern California Super Lawyer” by Law & Politics and Los Angeles magazine (2013-2016). He has also been recognized as Los Angeles Business Journal Top 40 Real Estate Lawyer July 2013. Andrew is a frequent speaker at real estate industry conferences. Andrew most recently spoke on panels at Bisnow regarding Mixed-Use and at Opus Connect regarding the current and future developments in and around downtown in March 2016. In 2015, he spoke on panels at Bisnow’s State of the Los Angeles Real Estate Market and at Opus Connect: Exploring the Nitty Gritty of Closing a Real Estate Deal in January 2015. He also spoke on panels at the IMN Real Estate Conference in Newport Beach 2014, The Pepperdine Estate Planning Network (PEPNET) 2014, Bisnow’s Silicon Beach: The Rise of Playa Vista and Bisnow’s 4th Annual Revolution of Downtown Los Angeles 2014, and Opus Connect 2014. In addition, he has spoken on panels at the Real Share National Conference, Real Share Apartments National Conference, Marcus & Millichap Apartments Conference and Crittenden National Real Estate Conference.
Andrew is active in the Los Angeles community and serves as a member of the Jewish Federation’s Real Estate Cabinet, the Milken Institute Young Leadership Circle, City of Hope and American Jewish University Moriah Society. Also, Andrew was selected to become a Member of Young Presidents Organization – Malibu Chapter.
Andrew was honored to represent the United States as a player on the United States Fast Pitch Softball Team in the 2009 Maccabiah Games in Israel, the World’s third largest sporting event, which occurs every four years.
Stephanie Lasker is Of Counsel of Sklar Kirsh LLP in the Real Estate Department. Her practice focuses on all aspects of commercial real estate, including leasing, development, acquisition and disposition. Her practice experience includes extensive representation of commercial tenants and landlords in connection with retail, shopping center, mixed use, office, and other commercial leasing transactions, and of retailers, developers, investment funds, start-up businesses, and individuals in the acquisition and disposition of vacant land, shopping centers, office buildings, apartment complexes and other commercial properties.
Prior to joining Sklar Kirsh, Stephanie was Senior Real Estate Counsel at Fresh & Easy Neighborhood Market, where she managed real estate-related legal matters and directed risk management for the real estate business unit, which included managing real estate-related litigation, negotiating and drafting commercial real estate contracts and related vendor and supplier contracts, and managing the lease restructuring team prior to the company’s restructuring. Prior to that, Stephanie was an Associate with McKenna, Long & Aldridge LLP, where she served as lead counsel on numerous retail site acquisition and leasing transactions in multiple states for Fresh & Easy Neighborhood Market’s aggressive retail roll-out, and worked on a broad range of real estate related matters including acquisition, development, disposition, and commercial leasing. Stephanie began her legal career representing for profit and nonprofit developers and tax credit equity investors in affordable multi-family housing development transactions with Riordan & McKenzie and Bingham McCutchen LLP.
Stephanie received her Juris Doctorate in 2002 from UCLA, where she was Managing Editor of the UCLA Law Review, and had her article published in UCLA Law Review, entitled Sex and the City: Zoning “Pornography Peddlers and Live Nude Shows”. Stephanie received her Bachelor of Arts degree in American Literature and Culture from UCLA, graduating summa cum laude. Throughout undergrad and law school, Stephanie participated in El Centro Legal Clinics, a student-coordinated network of volunteer legal aid clinics.
Stephanie is currently working with a group of motivated artists to create an arts colony in a warehouse complex along the banks of the Los Angeles River. She is also a member of the Women’s Center for Creative Work.
Tina A. Leggbellossi is a Real Estate Specialist of Sklar Kirsh LLP. She has over 20 years of real estate experience, specializing in commercial real estate including purchase and sale transactions, financing, due diligence, title and survey review and analysis, organization and preparation of closing documents and coordinating closings. Tina also assists the firm’s real estate clients in all aspects of entity governance and maintenance matters, including the formation, qualification, restructuring, conversion, merger and acquisition of limited liability companies, limited partnerships, corporations, general partnerships and limited liability partnerships formed in Delaware, California and in other states.
Prior to joining Sklar Kirsh LLP, Tina was the corporate/securities paralegal for Public Storage where she was responsible for maintaining all of their U.S. subsidiaries. She was previously a paralegal for Goodwin Procter, Sidley Austin and Cox, Castle and Nicholson.
Joshua Loeb is an associate of Sklar Kirsh LLP in the Corporate and Real Estate Departments.
Prior to joining the firm, Joshua was a summer associate at Fortress Investment Group’s Real Estate Group. He also served as a judicial extern to the Honorable Steven C. Suzukawa of the California Court of Appeal, Second District, Division Four.
Joshua received his Juris Doctorate from The University of Texas School of Law in 2014.
Born and raised in Los Angeles, Joshua received his Bachelor of Arts Degree in History, cum laude, from UCLA in 2011.
Mark Nicoletti is a partner of Sklar Kirsh LLP Real Estate Department. He has extensive experience representing real estate funds, individual investors and developers, home builders, and institutional and non-institutional lenders, in all areas of transactional real estate and real estate finance, including: construction, permanent, securitized, mezzanine, and cross-border financing; the acquisition, disposition and development of vacant land, office buildings, apartment complexes, hotels, shopping centers, and other commercial, residential, and mixed use properties; the formation and representation of corporations, limited liability companies, limited partnerships, and other joint ventures; and representing commercial tenants and landlords in connection with office, retail, and other commercial leasing, ground leasing, and leasehold financing.
Prior to joining Sklar Kirsh LLP, Mark provided boutique transactional real estate and real estate finance services to a select group of investment banking clients and real estate hedge fund clients.
Mark began his legal career in 2000 with Gordon & Silver LTD, in Las Vegas. In 2004, Mark joined the Real Estate Practice Group at Snell & Wilmer LLP; and in 2005, Mark joined Gibson, Dunn & Crutcher, LLP, as a member of the firm’s Real Estate Practice Group.
Mark received his Juris Doctorate in 1999, graduating second in his class with High Honors, from the University of Florida College of Law, and was inducted into the Order of the Coif. While in law school, Mark was a member and business editor of the Journal of Law and Public Policy and received academic awards for Bankruptcy and Creditor’s Rights, Taxation of Estates and Trusts, and Constitutional Law. Mark received his Bachelor of Science in Accounting from Palm Beach Atlantic University in 1994.
Mark is licensed to practice law in the State of California, the State of Nevada, and the State of Florida, and is a member of the American Bar Association, the State Bar of California, the State Bar of Nevada, and the Florida Bar. Mark is also a Certified Public Accountant (inactive) in the State of Florida.
Lola Peters is a paralegal of Sklar Kirsh LLP in the Real Estate Department. Lola assists with all aspects of the firm’s real estate law practice, including commercial and residential development projects, commercial, residential, and multi-family acquisition and sale transactions, and commercial loan and other real estate financing transactions.
Lola’s experience includes the preparation of purchase agreements and other documents, due diligence review, the review, analysis and resolution of title and survey issues, and organizing and assisting with transaction closings.
Prior to joining Sklar Kirsh, Lola was an Associate at an investment banking company where she gathered experience reviewing loan products, investor contracts, and loan policies to determine legal compliance and evaluate various risk factors, all of which add to the depth of service she provides to clients in their real estate matters.
Lola received her Bachelor of Arts degree in English and Political Science and her paralegal certification from the University of California, Los Angeles.
On a personal note, Lola enjoys yoga and really strong coffee.
Michael N. Rosner is a partner of Sklar Kirsh LLP in the Corporate Department. Michael has been a corporate transactional and finance attorney for more than 20 years. His extensive in-house experience, as well as the time he has spent counseling a wide range of business and lending clients at national law firms, has given Michael an insider’s understanding of the needs of the business client.
Most recently, Michael served as General Counsel and Executive Vice President of Relativity Media, LLC, where he was responsible for all legal matters studio-wide and helped the company close multiple financing rounds. While at Relativity, Michael was recognized as one of twenty leading general counsel in California by the Los Angeles and San Francisco Daily Journal.
Michael began his career as a finance, bankruptcy and restructuring lawyer with the Financial Services Department of Blank Rome LLP in Philadelphia, where he practiced from 1993-1998. He then joined the in-house legal staff of Fremont Financial Corporation (which was succeeded by FINOVA Capital Corporation). Michael served as Vice President and Corporate Counsel of such companies from 1998-2004, structuring and negotiating asset-based and cash flow loans and working out multiple loan portfolios during FINOVA’ s bankruptcy liquidation process. In 2007, Michael joined Loeb & Loeb LLP’s Corporate Department where he represented a variety of regional and national banks, commercial finance companies, hedge funds and borrowers in a wide range of financing transactions, including syndicated loans, structured finance, healthcare finance, cash-flow and asset-based loans. Michael also worked on various film financing transactions including, slate financings, ultimates loans, prints and advertising facilities and co-financings; and general corporate matters both within and outside of the entertainment industry, including corporate organizational matters, mergers and acquisitions, licensing and employment agreements.
Michael is a member of the State Bars of California, Pennsylvania (currently on voluntary inactive status) and New Jersey.
Born and raised in Philadelphia, Michael received his Bachelor of Arts degree in English Literature from the University of Michigan in 1990, with honors, and his Juris Doctor from Boalt Hall School of Law at the University of California, Berkeley, in 1993.
Jeffrey A. Sklar is a founding partner of Sklar Kirsh LLP and is the Chair of the firm’s Corporate practice. His clients range from individuals and early stage companies, to family offices and major corporations. Jeff advises clients in a variety of industries including advertising, alternative energy, apparel, consumer products, entertainment, healthcare, restaurants/hospitality, social media and technology. Jeff’s principal areas of practice are corporate law, mergers and acquisitions, joint ventures, partner dispute resolution and executive compensation.
Jeff began his career as a corporate lawyer with Alschuler Grossman Stein & Kahan LLP, where he practiced from 2001 to 2004. He then joined Loeb & Loeb LLP’s Corporate Department, where he practiced from 2004 until 2010 when he opened Sklar Law, P.C. In 2013, Jeff and Andrew Kirsh founded Sklar Kirsh, LLP, as a premier corporate and real estate transactional boutique. Jeff is a member of the State Bar of California and the Los Angeles County Bar Association.
Born and raised in Michigan, Jeff received his Bachelor of Arts degree in Journalism from Michigan State University in 1994. From 1994 to 1998 he worked as a marketing manager in New York for Hachette Filipacchi Magazines (Elle, Car & Driver, George) and for SunAmerica Inc. Jeff attended Loyola Law School of Los Angeles and received his Juris Doctor in 2001, where he graduated cum laude, as a member of the Order of the Coif and as a member of the St. Thomas More Law Honor Society.

Yulia Terentyeva is an associate of Sklar Kirsh LLP in the Corporate and Real Estate Departments.
Prior to joining the firm, Yulia worked for two years at a mid-size business law firm in Moscow, where she practiced transactional corporate law and business litigation.
Born and raised in Russia, Yulia completed a J.D. equivalent program at the Moscow State Institute of International Relations (MGIMO) in 2011. She later attended Los Angeles Loyola Law School, where she completed the LL.M. program for foreign-trained attorneys in 2014 and received a Master’s Degree with honors. Yulia is a member of the State Bar of California and the Beverly Hills Bar Association. She is proficient in Russian.
Yulia enjoys hiking, classical ballet and traveling.
